4iG SDT MAY ACQUIRE MAJORITY INTEREST IN A LEADING EUROPEAN HELICOPTER MAINTENANCE COMPANY

The planned acquisition of a majority stake in the Hungary-based HeliControl represents a new market entry opportunity for 4iG SDT and may contribute to securing long-term helicopter maintenance and modernisation capabilities in the country and its wider region.

§ 4iG Space and Defence Technologies Zrt. (4iG SDT) signed a non-binding Term Sheet for the acquisition of a 63% majority stake in HeliControl Kft.

§ Following the successful closing of the transaction, 4iG SDT will enter the rotorcraft maintenance, repair and overhaul (MRO) segment — a strategic area of the aerospace industry.

§ In parallel, 4iG is pursuing another acquisition via N7 Defence Zrt., aimed at acquiring a majority stake in Aeroplex, Hungary’s leading aircraft maintenance and training company. The two transactions together could give the 4iG space and defence group a unique position in the Hungarian and European aerospace markets.

§ The transaction may close following any required competition authority approvals.

4iG SDT, the space and defence technology subsidiary of the 4iG Group, has signed a non-binding Term Sheet to acquire a 63% stake in HeliControl Kft. Upon successful closing, the 4iG Group would take a strategically significant step in expanding its defence and aerospace portfolio by entering the rotorcraft maintenance and modernisation segment. The acquisition is expected to significantly strengthen Hungary’s helicopter MRO capacities, reducing long-term dependence on foreign providers.

Founded in 2011 as a family-owned business, HeliControl Kft. evolved into a regionally recognised service provider in the rotary-wing segment. Initially focusing on helicopter maintenance, repair and spare parts supply, the company successfully completed several major Airbus helicopter overhauls and rapidly expanded its structural repair certifications. Its commitment to high-quality service soon earned international recognition, attracting clients not only from Hungary but also from Austria, Switzerland, Germany, Scandinavia, and other parts of Europe.

Among its professional milestones, HeliControl performed Hungary’s first night vision-compatible helicopter upgrade for the Rapid Response Police’s border surveillance fleet, with authorisation from the Hungarian Aviation Authority. The company received regular commissions for military helicopter overhauls and successfully tendered for the Austrian Ministry of the Interior’s contract for the full overhaul and spare parts supply of one of its police helicopters.

Another key milestone came in 2018, when HeliControl won a Hungarian Ministry of Defence tender, becoming the first company in post-transition Hungary to carry out a full manufacturer-compliant overhaul on a Western helicopter type (AS350B). These accomplishments have positioned HeliControl as a trusted partner and preferred supplier to defence and law enforcement agencies across Europe.

4iG SDT has recently expanded its aerospace portfolio through targeted acquisitions. Under a strategic agreement with the Hungarian State, 4iG — through its acquisition of N7 Defence Zrt. — is gaining ownership of Aeroplex Central Europe Ltd., Hungary’s market-leading provider of fixed-wing aircraft MRO services.

Also part of 4iG’s defence portfolio is Rotors & Cams Zrt., which brings unique expertise in the development and manufacturing of unmanned aerial vehicles (UAVs).

Once the HeliControl transaction is closed, 4iG aims to establish a regional aerospace technology hub that integrates the capacities and expertise required for the operation and development of fixed-wing, rotary-wing, and unmanned aircraft. This would enable the Group to deliver integrated MRO services covering the full lifecycle of aerial platforms across both civil and defence domains.

The transaction closes following the required competition authority approvals.
