Telenor-Ufone Merger Enters Regulatory Review as PTCL Files With PTA

Pakistan Telecommunication Company Limited (PTCL) has formally submitted an application to the Pakistan Telecommunication Authority (PTA) seeking regulatory approval for the merger of Telenor Pakistan and Ufone, according to official sources.

The submission moves the proposed consolidation into PTA’s formal review process. As part of the assessment, the regulator will examine the merged entity’s business plan, network infrastructure, tower assets, spectrum holdings, and other operational components. The review will focus on the potential impact on market competition, spectrum concentration, and consumer interests.

Sources indicate that PTA is expected to complete its evaluation within one and a half to two months.

Following PTA approval, the transaction will be forwarded to the Securities and Exchange Commission of Pakistan (SECP) for corporate and financial clearance. The final stage will require court approval of the Scheme of Arrangement, a mandatory legal step to complete the merger. The entire regulatory and legal process is expected to take approximately five to six months.

The proposed merger follows PTCL Group’s recent acquisition of Telenor Pakistan and Orion. The consolidation is designed to strengthen PTCL’s mobile operations by integrating Telenor Pakistan’s assets with Ufone’s existing network and subscriber base.

Industry observers note that the merger could deliver operational efficiencies, wider network coverage, and improved service offerings. At the same time, it is expected to significantly reshape competitive dynamics within Pakistan’s telecommunications sector.
