Pakistan Telecommunication Authority (PTA) has invited public feedback on the proposed transfer of Telenor Pakistan’s mobile cellular licenses to Pakistan Telecommunication Mobile Limited (PTML), marking a key regulatory step toward the planned merger between the two operators.
Under the proposal, PTML, which operates under the Ufone brand, will remain the surviving entity following completion of the regulatory process. PTA confirmed that it has received a formal application seeking approval for the transfer of Telenor Pakistan’s licenses, along with its operations, assets, liabilities, rights, and obligations across Pakistan, Azad Jammu and Kashmir, and Gilgit-Baltistan. Upon completion, Telenor Pakistan will cease to exist as a separate licensed entity.
The development follows Pakistan Telecommunication Company Limited’s (PTCL) acquisition of 100 percent ownership of Telenor Pakistan, completed on December 31, 2025. PTCL subsequently submitted an application to integrate Telenor Pakistan with PTML as part of a broader consolidation strategy within the country’s mobile telecommunications sector. During the ongoing review process, Telenor Pakistan continues to operate as an independent legal entity.
Regulators are expected to assess the merger’s implications for market competition, spectrum concentration, and consumer interests before granting approval. Following PTA’s decision, additional regulatory clearances will be required from the Securities and Exchange Commission of Pakistan (SECP), along with court approval through a Scheme of Arrangement, before the merger can be finalised.
PTA has requested telecom consumers, industry stakeholders, and affected parties to submit written comments within seven days of the notice’s publication, reflecting a consultative approach as authorities evaluate one of the most significant consolidation moves in Pakistan’s telecom market in recent years.
