Pakistan Telecommunication Company Limited (PTCL) has completed the acquisition of 100 percent of the issued share capital of Telenor Pakistan and Orion Towers, following regulatory approval from the Pakistan Telecommunication Authority earlier this month.
Under the transaction, Telenor Pakistan and Orion Towers will operate as wholly owned subsidiaries of PTCL, alongside Pak Telecom Mobile Limited (Ufone 4G) and U Microfinance Bank. PTCL said Telenor Pakistan will continue to operate as a separate entity during the transition period, after which it will be merged with PTML, subject to further regulatory approvals.
The regulator approved the merger with conditions aimed at preventing abuse of market power and requiring the combined entity to participate in upcoming spectrum auctions. The Competition Commission of Pakistan had earlier cleared the transaction after PTCL accepted its prescribed terms and conditions.
PTCL acknowledged Telenor Pakistan’s contribution to the country’s telecom sector, noting its role in expanding connectivity and improving service quality over nearly two decades. The company said the acquisition brings together complementary strengths to enhance customer focus, expand network reach, and accelerate innovation.
PTCL President and CEO Hatem Bamatraf described the acquisition as a significant milestone for both the company and Pakistan’s telecom industry, emphasizing a continued focus on customer-centric services and improved user experience as the integration progresses.
